# Terms of Service

These Terms of Service ("Terms") are the contract between you and Funtitled Labs Pte. Ltd. (UEN 202641216G) ("we", "us") for Verbafy at [https://verbafy.io](https://verbafy.io).

By creating a Guest session, registering, paying for a plan, or otherwise using Verbafy, you agree to these Terms. If you do not agree, do not use the product.

The [Privacy Policy](/privacy) explains how we handle personal data. It is not part of the price terms, but it is part of how the service operates.

## The service

Verbafy converts spoken media into speaker-labeled, timestamped transcripts. You may paste a public YouTube URL, paste a Spotify episode link, or upload a private audio or video file. The product can return named speakers, paragraphs, clickable timestamps, optional translation, summaries, chat over a transcript, and export files (TXT, Markdown, JSON, SRT, VTT, and ZIP).

YouTube jobs accept a public video URL only. Playlists, channel batches, and private or inaccessible unlisted videos are not supported. Spotify jobs accept a canonical episode link (`open.spotify.com/episode/…`) only. Show pages, playlists, Apple Podcasts URLs, and RSS URLs are not supported. Resolution can fail if the matching public RSS episode cannot be found. Private uploads support common audio and video files up to 10 GB. Registered Users with an API key may use Remote MCP at `https://verbafy.io/api/v1/mcp`. Current plan access is on [pricing](/pricing). Guests cannot use MCP. Registered Users and Guests may call the same-origin REST API as described in [API docs](/docs). Customer webhook subscriptions are not supported.

Verbafy is not a live meeting bot. It does not join calls, record meetings, or connect to conferencing products. Meeting recordings belong only when you upload a file after the meeting.

Library Search is not part of the live product. These Terms do not promise features marked SOON on [pricing](/pricing).

## Eligibility

You must be 18 years or older. You must have capacity to contract. You must not use Verbafy if you cannot agree to these Terms.

If you use Verbafy for an organisation, you confirm you have authority to bind that organisation.

## Accounts

A **Guest** uses a seven-day session cookie. Guests can use the Free Plan allotment. Guests cannot buy a paid plan or use Remote MCP.

A **Registered User** signs in with Clerk (email and password, or Google). Signing in can claim Guest Transcripts and Chats onto the Registered User. A free Guest subscription is deleted on claim. A paid registered subscription is kept.

You are responsible for your credentials, API keys, and for activity on your account. Do not share API secrets. Revoke a key if it leaks.

We may refuse, suspend, or close an account that breaches these Terms or that we reasonably believe is abusive or unlawful.

## Plans, trials, and payment

Currency is United States dollars. We are not GST-registered. Prices on [pricing](/pricing) do not add GST.

The Free Plan is a weekly transcribed-minute allotment. It is not a one-time trial that expires at signup. Free minutes reset each UTC week. No card is required for Free. AI chat on Free is a weekly message allotment. Starter and Pro include unlimited chat. Current numbers are on [pricing](/pricing).

Paid plans are Starter and Pro, billed weekly or monthly through Stripe. Monthly Starter and Pro include a 3-day Paid-plan Trial with a card on file, unless the account already used a trial. During a Paid-plan Trial the live [pricing](/pricing) page states the trial transcribed-minute cap (today: 100 on Starter, 300 on Pro). Weekly billing has no trial and charges immediately. Unless you cancel before the trial ends, Stripe charges the monthly price on day 3.

You authorise Stripe to charge the payment method you provide for the selected plan, renewals, and confirmed plan changes.

Subscriptions renew at the end of each billing period until you cancel. Cancel in the Stripe Customer Portal. Cancellation takes effect at period end. You keep paid access until then.

We do not give cash refunds for unused time after you cancel. If you change plan mid-period through the Customer Portal, Stripe may apply unused-time credit to the new plan. That credit is not a cash payout.

Plan changes and billing management use Stripe Checkout or the Stripe Customer Portal. You must complete those flows in a browser.

If a payment fails, we may put the subscription on hold and suspend paid features until payment succeeds or the subscription ends.

## Acceptable use

You must use Verbafy only for lawful purposes. You must not:

- upload or submit content you do not have the right to use
- attempt to access another person's account, library, or media
- probe, overload, or disrupt the service, except through documented API use within rate limits
- bypass Turnstile, payment, or allotment controls
- use the Free Plan, Guest sessions, or Paid-plan Trials to evade paid limits
- submit malware or content that is unlawful in Singapore

We may rate-limit, queue, or refuse jobs when capacity or abuse controls require it.

## Your content and third-party media

You retain whatever rights you already have in files you upload and in prompts you submit.

You grant us a worldwide licence to host, process, transcribe, translate, summarise, and display that content as needed to provide Verbafy, including through our processors.

YouTube videos, Spotify episodes, and uploads may contain other people's personal data and copyrighted works. You confirm that you have the rights and any required consent to submit the source for this processing. You are responsible for the source. We do not grant you rights in YouTube, Spotify, or other third-party content.

Public-link sources and derived artefacts may be reused to serve the product for other users of the same public source. Private uploads stay in private storage and are not made public to simplify transcription.

## Intellectual property

We and our licensors own Verbafy, the site, the software, the Verbafy name, and related marks. These Terms do not transfer that ownership.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use Verbafy for your own internal or personal use during a valid Guest session or paid or Free subscription.

You may export and keep transcripts and files the product generates for you, for your lawful use. That does not include a right to copy the Verbafy product, scrape the service, or use our marks without permission.

## Accuracy and AI

Speech-to-text, speaker names, summaries, translations, and chat can contain errors. Results vary with audio quality, overlapping speech, and source language. Published accuracy figures are evidence of quality on the stated benchmark. They are not a guarantee for every file.

Do not rely on Verbafy as the sole record for legal, medical, safety, or similar decisions. Keep the original media when that record matters.

## Remote MCP and the API

OpenAPI at `/openapi.json` is the HTTP source of truth. Remote MCP is a companion wrap for Registered Users with an API key. Guests cannot call MCP. Customer webhook subscriptions are not supported.

You must keep API keys secret. You are responsible for calls made with your keys. We may revoke keys that we reasonably believe are leaked or abused.

## Suspension, termination, and deletion

You may stop using Verbafy at any time. Cancel a paid plan in the Stripe Customer Portal.

To close an account and ask us to erase library data, email [privacy@verbafy.io](mailto:privacy@verbafy.io). We may keep billing and tax records as required by law.

We may suspend or end access immediately if you breach these Terms, if we must do so by law, or if continuing would create a security or operational risk. If we terminate for convenience, we will try to give reasonable notice.

After access ends, we handle remaining personal data as described in the [Privacy Policy](/privacy).

## Liability

Nothing in these Terms excludes or limits liability that Singapore law does not allow us to exclude, including liability for death or personal injury caused by our negligence, or for fraud.

To the extent permitted by the Unfair Contract Terms Act 1977, we are not liable for loss of profit, loss of data (except where we fail to take reasonable care of personal data we hold), or other indirect or consequential loss.

Our total liability arising out of or in connection with Verbafy in any 12-month period is limited to the amounts you paid us for Verbafy in that period, or SGD 100 if you paid nothing.

You keep any non-excludable rights under the Consumer Protection (Fair Trading) Act 2003.

## Changes to these Terms

We may update these Terms. The `updatedAt` date above is the latest revision. For a material change, we will give notice on the site or by email. If you continue to use Verbafy after that notice takes effect, you agree to the updated Terms. If you do not agree, stop using the product and cancel any paid plan.

## Governing law

These Terms are governed by the laws of Singapore. The courts of Singapore have jurisdiction.

Ordinary self-serve use of Verbafy is not a regulated direct-sale or timeshare contract. These Terms do not create a statutory cooling-off period.
